Hikma Pharmaceuticals Governance Journey

The case opens with Said Darwazah, chairman and CEO of Hikma Pharmaceuticals, the multinational generics company, anticipating the company's 2017 AGM and reflecting on changes made over the previous year to address concerns expressed by proxy advisors and some shareholders about Hikma's reliance on a combined chairman/CEO position, the long tenure of some directors, and the company's approach to executive pay. The case describes Hikma's origins as Jordanian pharma company founded by Darwazah's father in 1978, and traces the evolution of its governance as a private family company, then as publicly-traded company listed on the London Stock Exchange in 2005, and finally as a member of the FTSE 100, beginning in March 2015. Ahead of the 2017 AGM, Darwazah is confident that shareholders will approve changes made to the company's executive incentive plan (EIP) and steps taken to accelerate the turnover of long-serving directors, but he wonders how much longer the company will be able to continue with a combined Chairman/CEO and, more generally, how to marry the high level of governance expected by shareholders with the entrepreneurial spirit that had driven Hikma's growth and development.

Die Wertanalyse ist eine Methodik der Betriebswirtschaftslehre, bei der der Wert eines Produkts dem damit verbundenen Aufwand gegenübergestellt wird, um auf dieser Basis Qualität zu steigern und Kosten zu senken. Grundlage der Wertanalyse, auch Value Engineering genannt, ist ein strukturierter Prozess, der unter anderem in der DIN EN 12973 genormt ist. Trotz ihres großen Potenzials findet die Methodik in der Bauwirtschaft bislang kaum Anwendung. Gerade in frühen Planungsphasen kann sie jedoch erheblich zur Kostenreduktion sowie zur Steigerung von Qualität, Resilienz und Funktionalität baulicher Anlagen beitragen. Die mangelnde Bekanntheit sowie fehlendes Wissen über ihre praktische Umsetzung verhindern derzeit eine breite Nutzung. The stochastic averaging methods are among the most effective and widely applied approximate methods for studying nonlinear stochastic dynamics. Upon an overview of global research on the subject, the book highlights a comprehensive summary of research results obtained by the group led by Professor Weiqiu Zhu at Zhejiang University in China and the group led by Professors Y. K. Lin and G. Q. Cai at Florida Atlantic University in the USA over the past three decades. The books are structured to progress logically from foundational principles to simple problems and then to increasingly complex applications. To facilitate understanding and mastery of the methods, the books offer essential preliminary knowledge and a wealth of examples. The book comprises two volumes. Volume 1 introduces the basic principles of stochastic averaging methods and their applications to single-degree-of-freedom systems under various random excitations. This CCIS book constitutes selected papers accepted in the Research Track on Smart Cities and Smart Mobility and the Research Track on Software Engineering of the 11th International Conference on Computational Science and Computational Intelligence, CSCI 2024, which took place in Las Vegas, NV, USA, during December 11–13, 2024. The Research Track on Smart Cities and Smart Mobility, CSCI-RTSC, received 75 submissions of which 15 papers were accepted.
